Businesses are currently struggling to pay rent. At the same time, many landlords are also struggling to pay property loans while their incomes have been drastically reduced.
The Economic Recovery Task Force has formed a work group on reducing commercial evictions, focusing on technical assistance for landlords and tenants and identifying effective actions at the state and federal level.

Algunos propietarios que tienen los medios económicos permiten a algunos no pagar el alquiler o descuentan los tres meses de prórroga para que paguen después.

A modo de referencia, algunos inquilinos utilizan las declaraciones de pĆ©rdidas y ganancias o las declaraciones de impuestos para mostrar el cambio de ingresos entre 2019 y 2020, y la caĆda de las ventas que se produjo en 2020.

- Evitar comprometerse con acuerdos que incrementen su obligación financiera general durante el resto del contrato.
- Evitar programas de pago de plazos muy cortos, ya que se espera que las ventas sean bajas cuando se levante la orden de «Quédate en casa».
Como no se ha determinado una fecha para levantar las órdenes de «quédate en casa», los propietarios e inquilinos deberÔn comunicarse con frecuencia. Durante la pandemia, los propietarios e inquilinos estarÔn en continua colaboración; por lo que es importante ser siempre respetuoso y positivo, y preservar la relación es esencial.
Como se trata de una situación sin precedentes, no hay una postura correcta o incorrecta para comenzar las negociaciones o el monto a negociar.
Si no estÔs generando ingresos, puedes comenzar la conversación pidiendo una reducción o prórroga del alquiler, según lo que creas que pueda funcionar para tu negocio. Inquilinos y propietarios compartieron los siguientes ejemplos:
- Alquiler completo, triple contrato neto (NNN), reducción de los cargos de mantenimiento de Ôreas comunes (CAM) mes a mes hasta la reapertura de negocios.
- Alquiler completo, NNN, prórroga de los CAM durante el perĆodo de la moratoria de desalojo comercial y pedir que el contrato se prorrogue por el perĆodo de alquiler diferido y que dichos pagos de alquiler diferido se agreguen al final del contrato.
- Alquiler completo, NNN, prórroga de los CAM, con el valor de los pagos diferidos amortizados durante el resto del contrato.
- Alquiler completo, NNN, prórroga de los CAM con el valor de los pagos diferidos durante un perĆodo de tiempo menor.(Mientras mĆ”s tiempo, mejor para los inquilinos).
Si tu negocio genera ingresos, podrĆas negociar con el propietario para hacer pagos parciales segĆŗn el porcentaje de ventas que haces actualmente.
Guarda tus preguntas por escrito, sé comprensivo con la situación del propietario (pueden estar teniendo las mismas discusiones con sus prestamistas) y apela a los hechos y los números en lugar de la emoción.
Los propietarios dieron diversas respuestas hasta la fecha. Algunos ofrecen una ayuda limitada o parcial y otros una ayuda total. Los resultados varĆan segĆŗn cada caso.

Many tenants are afraid to talk to their landlords if they canāt pay rent.Ā Make sure you let your tenants know you value them, that you want them to succeed, and that you want to be a partner to help make this work. That may help get them talking.

You should always start a negotiation with what you really need, based on what your business can support, not what you think the other side might want or perceive as being reasonable.Ā They will have the opportunity to respond⦠itās a negotiation!
Discuss your current situation and plans for reopening with your landlord.Ā They want to know what you are doing to stay in business and succeed in the future. This information also helps them with their lenders.
Based on your personal assessment of your business, you must decide how much you can afford to pay, due to losses in revenue.
Best practices shared by other business owners and landlords indicate that landlords are negotiating three months of deferral, meaning tenants will have to pay the three months after they reopen.
Some landlords who may have the financial means are allowing for some free rent or discounting the three months deferral to be paid later.
Some landlords are aware that tenants will not have the full three months of back rent available right after reopening and are willing to negotiate payments amortized through the remainder of the lease.
The SBA emergency loan was available for property owners to cover payments. The program is currently fully allocated but a new allocation has been approved by Congress. It is suggested that landlords discuss with their banks to āget in lineā for the future funds.

Rents are driven by the capacity of a business to perform (sell).Ā Rent per square foot is driven by sales per square foot.Ā If businesses do not see sales rebound to pre-pandemic levels, they will not be able to afford the same rent they were paying prior to the Stay Home order. And this will be true for all businesses.Ā Given where sales are likely to be after the end of the moratorium, landlords should monitor sales and consider:
- Keeping spaces occupied – vacant spaces deteriorate quickly, hurt lease and sales values, and affect the vibrancy and overall health of the neighborhood.
- Consider moving rent charges to a percentage of sales for three months at a time while monitoring sales, keeping rent in line with what businesses are actually earning.
- Collaborate with tenants regarding changes that may help them comply with requirements to keep employees and customers safe, therefore allowing the business to operate.
- Until there is a cure/treatment for the coronavirus, it is likely we will see rolling periods of closures as outbreaks flare, which will impact sales. So flexible terms with tenants will be critical.
- Remember that the more we can support businesses to reopen and continue operations, the faster the economic recovery will be.
Since this is a concern that has been flagged for the re-opening period, not much has been shared in terms of best practices yet, with data on reopening just now coming from China and Europe.
Most property owners are contacting their lenders to discuss potential loan forbearances and plans for payment amortization.
Negotiations have been happening on a case-by-case basis.
Some of the best practices shared by property owners are:
- Be proactive and reach out to your tenants frequently. Many tenants may feel intimidated or sometimes are unaware that landlords are willing to collaborate.
- Work with your tenants and build a case for how you are keeping them in business, how they will thrive and be able to pay rent in the months ahead. Building this story of how well you will manage the space and how you will find revenue in a tough market will be critical to lender discussions.
- Contact your lenders with facts and potential solutions. Know what you want to ask for based on your financials and conversations with your tenants.
- Some lenders are negotiating three months of payment deferral and amortizing those payments through the life of the loan or adding it at the end as a balloon payment.
- Some lenders are negotiating three months of interest-only payments with principal either amortized through the life of the loan or payable at the end.

Make sure you keep the written record with your landlord professional, clear, and fact-based.
The commercial eviction moratorium does not spell out specific documentation, only that it should be āacceptable documentation.āĀ The moratorium does not indicate that it is the landlordās job to determine what is acceptable.
For documentation purposes, some tenants are using profit and loss statements or tax returns to show the change of revenue between 2019 and 2020, and the drop-off in sales that occurred in 2020.
Approach those negotiations as ongoing and focus on the āStay homeā period. It is likely that over the duration of the pandemic, landlords and tenants will be negotiating and adjusting lease terms based on sales levels.
Currently, the moratorium only protects tenants during the 90-day period and rent for those 90 days is still due.
The way the moratorium is written, it is unclear whether a landlord could start eviction proceedings immediately after the end of the moratorium, even if a tenant made up the back rent immediately.Ā This is still uncharted legal territory.
How much to negotiate into the future really has to be determined on a case-by-case basis.Ā But it is suggested that tenants:
- avoid committing to agreements that raise their overall financial obligation during the remaining life of the lease.
- avoid repayment schedules that are very short since sales will most likely be low when the Stay Home order is lifted.
Since a date to lift the āstay homeā orders have not been determined, landlords and tenants will need to communicate on an ongoing basis. It is important to always be respectful and positive; landlords and tenants are going to be collaborating a lot during this pandemic, and relationship preservation is key.
In these unprecedented times, there is no right or wrong place to start negotiations or amount to ask for.
If you are generating no revenue, you may start the conversation by asking for rent abatement/deferrals based on what you believe can work for your business. The following examples have been shared by tenants and landlords:
- Full rent, NNN, CAM abatement on a month-by-month basis until businesses are reopened.
- Full rent, NNN, CAM deferral for the period of the commercial eviction moratorium and ask the lease to be extended by the period of deferred rent and have those deferred rental payments tacked onto the end of the lease.
- Full rent, NNN, CAM deferral, with the value of the deferred payments amortized over the remaining life of the lease.
- Full rent, NNN, CAM deferral, with the value of the deferred payments over a shorter period of time.(The longer the better for tenants.)
If your business is generating revenue, you could negotiate with your landlord to make partial payments based on the percentage of sales your business currently generates.
Keep your asks in writing, be sympathetic to your landlordās situation (they may be having the same discussions with their lenders) and stick to facts and numbers instead of emotion.
Landlords have had a wide range of responses to date. Some are offering limited or partial relief, and some full abatements. Outcomes really vary on a case-by-case basis.
As you are negotiating with your landlord, please do think about who can help you with legal, accounting or brokerage advice. We have compiled some lease negotiation resources at the top of this page.
No! The eviction moratorium does not excuse rent payment at all. Tenants are still liable for rent their lease requires. That is why it is important for tenants to have open and continuous communication with landlords, and make sure agreements with landlords have a written paper trail.
- The Commercial Eviction Moratorium issued on April 1, 2020 by Governor Brown protects tenants suffering significant loss of revenue due to the āStay Home, Save Livesā orders from being evicted.
- The order remains in effect for a period of 90 days from the executed day.
- Landlords are not allowed to charge late fees for late rent during this same period.
- The rent for this period is still due, along with additional charges specific to the leases, such as utilities and taxes (if applicable).
- Tenants must show evidence of revenue loss due to the governmental restrictions.
